End User License Agreement
This End User License Agreement is a legal agreement between you and APMD SOFT that governs your use of any Software made available by APMD SOFT. By installing software or taking any step to install or use the software product, you enter into this contract and you agree to be bound by the terms of this EULA.
Grant of license
APMD SOFT grants you a revocable, non-exclusive, non-transferable, non-sublicensable limited license to use software, subject to payment of appropriate fees.
Restrictions
Except to the extent that such restriction is not permitted under applicable law, you are not permitted to reverse engineer, decompile, disassemble or create derivative works of or modify the Software Product.
Termination
Failure to pay the fees by the due date will result in the immediate termination of the licenses granted under this EULA. Upon termination of this agreement you discontinue use of the software and the documentation and destroy any copies made.
Ownership
The Software and Documentation and any other elements which are part of the product, all copies and portions, and all improvements, enhancements, modification and derivative works, and all Intellectual property rights, are and shall remain the sole and exclusive property of APMD SOFT and its licensors. APMD SOFT does not transfer any ownership rights.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall the APMD SOFT be liable to you for any direct, indirect, incidental, special or consequential damage, or damages for loss of profits, revenue, data or data use, incurred by you or any third party. Despite the above, our total liability to you for any cause of action you take against us will at all times be limited to no more than a fee covering 30 days use of the software product you paid to us.
Disclaimer of Warranties
Customer accepts the service “as is,” with no representation or warranty of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, or noninfringement of intellectual property rights or any implied warranty arising from statute, course of dealing, course of performance, or usage of trade. Without limiting the generality of the foregoing, APMD SOFT has no obligation to indemnify or defend customer against claims related to infringement of intellectual property rights.
